PLEASE READ THESE TERMS OF USE CAREFULLY BEFORE USING THE SERVICES OFFERED BY Yubilly Receipt Services Inc. ("Yubilly"), A CANADIAN CORPORATION.

Acceptance of Terms

By registering for and/or using the Service in any manner, including but not limited to visiting or browsing the Site, you agree to all of the terms and conditions contained herein, which also incorporate Yubilly's Privacy Policy and all other operating rules, policies and procedures that may be published from time to time on the Site by Yubilly.

Mobile Platform Terms

By using the Yubilly app via the Apple App Store or Google Play Store, you also agree to comply with their respective terms of service.

Data Collection and Processing

By using the Yubilly app, you acknowledge that your personal and behavioral data may be collected and processed in accordance with our Privacy Policy.

In-App Purchases and Subscriptions

Some features of the Yubilly application may be offered as paid services through in-app purchases or subscriptions managed by Apple or Google. Subscription terms, including renewal and cancellation policies, are governed by the respective platform's payment terms. Yubilly does not manage refunds for transactions made through app stores.

Access

Subject to these Terms of Use, Yubilly may offer to provide the Services, as described more fully on the Site, and which are selected by you, solely for your own use, and not for the use or benefit of any third party.

Registration and Eligibility

You may browse the Site and view Content without registering, but as a condition to using certain aspects of the Service, you are required to register with Yubilly and represent that you provide accurate, truthful, and complete registration information.

You shall not: provide any false personal information; use a User Name that is the name of another person with the intent to impersonate; use a User Name subject to rights of another person without authorization; or use a User Name that is offensive, vulgar or obscene.

The Service is not available to individuals who are younger than 13 years old.

Content

All Content, whether publicly posted or privately transmitted, is the sole responsibility of the person who originated such Content. Yubilly cannot guarantee the authenticity of any Content or data which users may provide about themselves.

User Submissions

By submitting User Submissions on the Site or otherwise through the Service, you hereby grant Yubilly a worldwide, non-exclusive, royalty-free, fully paid, sublicensable and transferable license to use, copy, edit, modify, reproduce, distribute, prepare derivative works of, display, perform, and otherwise fully exploit the User Submissions in connection with the Site, the Service and Yubilly's business.

Rules and Conduct

As a condition of use, you promise not to use the Service for any purpose that is prohibited by these Terms of Use. You are responsible for all of your activity in connection with the Service.

Third Party Sites and Services

The Service may permit you to link to other websites, services or resources on the Internet. These other websites are not under Yubilly's control, and you acknowledge that Yubilly is not responsible or liable for the content, functions, accuracy, legality, appropriateness or any other aspect of such websites.

Termination

Yubilly may terminate your access to all or any part of the Service at any time, with or without cause, with or without notice, effective immediately. Any fees paid hereunder are non-refundable.

Warranty Disclaimer

THE SITE, SERVICE, CONTENT ARE PROVIDED "AS IS", "AS AVAILABLE" AND ARE PROVIDED WITHOUT ANY REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.

Indemnification

You shall defend, indemnify, and hold harmless Yubilly, its affiliates and each of its employees, contractors, directors, suppliers and representatives from all losses, costs, actions, claims, damages, expenses or liabilities that arise from or relate to your use or misuse of the Service.

Limitation of Liability

IN NO EVENT SHALL YUBILLY BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY LOST PROFIT OR ANY INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL OR PUNITIVE DAMAGES. YUBILLY'S LIABILITY WILL AT ALL TIMES BE LIMITED TO THE GREATER OF FIFTY U.S. DOLLARS ($50) OR AMOUNTS YOU'VE PAID YUBILLY IN THE PRIOR 12 MONTHS.

Modification of Terms

Yubilly reserves the right, at its sole discretion, to modify or replace any of these Terms of Use at any time by posting a notice on the Site. Your continued use of the Service following the posting of any changes constitutes acceptance of those changes.

Governing Law

This Agreement shall be governed by the laws of Ontario, Canada. You agree to submit to the personal jurisdiction of the courts located within Ontario, Canada.

Dispute Resolution

Before initiating any legal proceeding, you agree to first attempt to resolve the issue by contacting Yubilly support. If no resolution is reached within 30 days, you may proceed to bring a claim in the courts of Ontario, Canada.

Entire Agreement

This Agreement is the final, complete and exclusive agreement of you and Yubilly with respect to the subject matters hereof and supersedes all prior discussions and agreements between the parties.
